Job Title: Assistant Company Secretary

Reporting to: Deputy Company Secretary

Hours of Work: 37.5 hours per week, Monday to Friday, 9:00am to 5:30pm

Our client, an entrepreneurial and innovative FTSE 100 Company, are looking to further expand their Secretariat function.

This is an exciting opportunity for you to join a growing function and support the newly appointed Deputy Company Secretary in shaping the functions offering. In the role you will be providing a high level of company secretarial support to the Group Board, Group Committees and Executive sub-committees.

Your role will be key to ensuring the Board and Directors across the Company receive a smooth and efficient service.

Key Duties And Responsibilities:

* Secretary to Executive and Committee sub-committees;
* Provision of a full meeting administrative service and support to the Group Board and its Group committees, including the preparation of agendas, meeting packs, action and decision logs, annual agenda frameworks, minutes, follow up actions, venue planning and IT equipment,
* The provision of a full company secretarial service and support to the regulated entity boards,
* To provide training (as necessary) and oversight to divisional administrators to enable the effective delivery and execution of meeting administration and minute taking services at divisional committees,
* To develop and maintain a documented Boards and Committees protocol for meetings to include standardised templates and associated supporting documentation including agendas, minutes, rolling agendas, scheduler for all managed meetings and adherence to Group SLAs,
* To develop, maintain and provide report writing guidance and training to divisional administrators,
* To file Statutory Company House Filings for the Group and all subsidiaries,
* To manage Stock Exchange announcements,
* To organise the arrangements and communication of the AGM,
* Administration of Blueprint (statutory electronic filing system),
* Administration and management of Diligent (electronic board papers)

Essential skills and experience:

* ICSA qualified or part qualified, (but ideally ACIS)
* Experience of managing subsidiaries
* Knowledge of Companies Act, UK Listing Rules and UK Corporate Governance Code and working with Companies House and the Financial Conduct Authority
* Experience of working in financial services, or another regulated industry
* Excellent IT, written and verbal communication skills - with the ability to adapt to situations and individual's preferences
